Terms of Service

Afile Digital is a web design and digital marketing agency trading in the Republic of South Africa, providing website design, e-commerce development, SEO, social media marketing, Google Ads management, and digital strategy services to South African businesses and individuals.

You may use this website for lawful purposes only. You agree not to:

• Use the website in any way that breaches applicable South African law or regulation
• Transmit any unsolicited or unauthorised advertising material
• Attempt to gain unauthorised access to any part of our website or its infrastructure
• Reproduce, duplicate, or copy any content from our website without written permission

Prices displayed on our website (including the Packages page) are indicative starting prices. Final pricing for your specific project is confirmed in writing via WhatsApp or email before any work commences. All prices are in South African Rand (ZAR).

Quoted prices are valid for 30 days from the date of issue. We reserve the right to revise pricing after this period.

Our website packages are priced as once-off payments unless otherwise explicitly agreed in a written proposal. Hosting, domain registration, and third-party subscription services (e.g. payment gateways, premium plugins) are separate costs borne by the client unless stated otherwise.

• Payment is required in full before delivery of completed website files, unless a payment schedule is agreed in writing.
• We accept electronic funds transfer (EFT) and other payment methods agreed in writing.
• We reserve the right to withhold delivery of all project files, hosting credentials, or access until full payment is received.
• For larger projects, we may require a deposit of up to 50% before commencing work.

Delivery timeframes stated on our website and in proposals are estimates. Actual delivery depends on factors including project complexity, client responsiveness to review requests, the provision of required materials (content, images, logos), and revision rounds.

We will communicate proactively if significant delays arise. Delays caused by the client's failure to provide materials or feedback in a timely manner do not constitute a breach by Afile Digital.

When engaging our services, you agree to:

• Provide accurate and complete information, content, and materials required for your project
• Ensure you hold the intellectual property rights to any logos, images, text, or other materials you supply to us
• Provide timely feedback during the design and development process
• Promptly review and approve work at each milestone
• Ensure any content you provide does not infringe third-party rights or violate South African law

Afile Digital is not liable for any legal claims arising from content supplied by the client.

Each package includes a specified number of revision rounds as stated on our Packages page. A revision round is a consolidated set of feedback submitted in one communication. Additional revision rounds beyond the included allocation may be quoted separately.

Significant scope changes requested after project commencement (e.g. additional pages, new features, structural redesigns) will be treated as amendments and may attract additional costs.

Upon receipt of final payment in full, the client owns the website design, code, and content created specifically for their project. Afile Digital retains no ongoing intellectual property rights to the delivered work.

Third-party frameworks, libraries, plugins, and tools incorporated into the project remain subject to their respective open-source or commercial licences. Afile Digital will inform you of any third-party licences that require your attention.

Afile Digital reserves the right to display completed work in our portfolio and marketing materials unless the client expressly requests otherwise in writing.

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation does not apply to information that is publicly available or required to be disclosed by law.

Either party may cancel a project in writing. In the event of client-initiated cancellation after work has commenced, Afile Digital reserves the right to invoice for work completed up to the date of cancellation, at a pro-rata rate based on the agreed project price.

Deposits are non-refundable once work has commenced, unless Afile Digital is unable to deliver the agreed services.

To the maximum extent permitted by South African law, Afile Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our website or services, including but not limited to loss of revenue, profits, data, or business opportunities.

Our total cumulative liability to you for any claim arising from our services shall not exceed the total amount you paid to us for the specific service giving rise to the claim.

Afile Digital does not provide website hosting or domain registration as part of our standard packages. We can recommend suitable providers. Once your website is delivered, ongoing hosting, domain renewals, and website maintenance are the client's responsibility unless a separate maintenance agreement is in place.

Afile Digital warrants that our work will be performed with reasonable skill and care. We do not guarantee specific outcomes such as search engine rankings, sales volumes, or advertising performance, as these depend on many factors outside our control.

These Terms of Service are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the South African courts.

We may update these Terms of Service from time to time. Material changes will be noted with an updated date at the top of this page. Your continued use of our website or services after any changes constitutes your acceptance of the updated terms.
